ADECS Terms and ConditionsBelow are the terms and conditions of use of the ADECS (Norfolk) Limited website, and work undertaken by ADECS (Norfolk) Limited. ADECS Website Terms and Conditions of UseUse of this website, it's services, and facilities are governed by Laws of England and Wales, and the Computer Misuse Act 1990 of the Unitied Kingdom, including all relevant amendments or alterations. Access to the websiteADECS will do our utmost to ensure that availability of the website will be uninterrupted to the best of our abilities and those of our service providers, and that data transmissions will be error-free. However, due to the nature of the Internet, this cannot be guaranteed. Your access to the website may also be occasionally restricted, or suspended, to allow for any necessary repairs, maintenance, or the introduction of new facilities or services. We will attempt to limit the frequency and duration of any such suspension or restriction. ADECS Terms and Conditions for WorkIntellectual Property RightsADECS, through its licence, retains the intellectual property rights to the development or training materials used in all of its programmes, courses or work. The Customer acknowledges this ownership through deciding to use any programme, course or software. When new courses or materials are developed on a Customer's behalf, the copyright and other IPR remain the property of ADECS. Transference of intellectual property rights may occur only where agreed by ADECS in writing prior to commencement of any work undertaken. SafetyADECS shall not be held liable for any accident, injury, or damage that may occur while using our training materials, while participating in training exercises, or resulting from any development work. Our Customer's must have adequate insurance or other protection for their employees and systems. LiabilityADECS shall not be held liable for the consequences of any advice that may be given in the course of our discussions with a Customer, whether within or outside the training room, or office. If for reasons beyond our control (e.g. illness or failure of transport systems) ADECS should be unable to fulfil an obligation, we will not be held liable for any costs or damages of the Customer caused by postponement or cancellation of the event. PaymentFees for training and development are due immediately upon receipt of invoice, unless specifically informed of a grace period specifying a fixed number of days. Where certain expenses are not known before the course or work commences, these will be invoiced separately afterwards, and such an invoice shall be for immediate payment upon receipt. Cancellation or Postponement of Work100% of fees and any job-specific expenses shall be paid in the event of a cancellation being notified to ADECS within 31 days of the start of a training course. 50% of the fees and any job specific expenses will be paid in the event of a cancellation being notified to ADECS within 32-62 days of the start of a course. ADECS recognises that Customer's usually prefer to commit their time long in advance. As a result if less than 90 days notice is given for any course cancellation it usually makes it impossible for ADECS to re-sell the time. ADECS will try to accommodate the wishes of every customer by rescheduling dates when this is possible or appropriate. However ADECS asks the customer to recognise that a postponement to them is usually the equivalent of a cancellation to ADECS in terms of its effect on earnings. Customisation and Translation of MaterialsIf it is necessary to amend or customise our materials, ADECS will charge a development fee, to be agreed in advance. For example with an in house course or application, to ensure a good match with internal formats, the jargon of the business, and the primary concerns of management, we may need access to appropriate senior staff for some hours for initial discussions, and may require further inputs. ExpensesNormal day to day expenses, such as costs of telephone calls, faxes and e-mails are included in our fee. Other expenses (i.e. costs of travel to meetings; and all interfaces with client; and accommodation and subsistence) will be invoiced to The Customer. Venue, accommodation, local transport and subsistence to be met by the Customer. Mileage charges in the UK at £0.55 per mile. Rail travel, air travel charged at full business fare rate for journeys over 4 hours and full economy class airfares for journeys of up to 4 hours. DisputesADECS will always try to resolve disputes with Customer's amicably, but where any dispute needs to be taken to a third-party Alternative Dispute Resolution scheme or service provider, the Customer will be fully responsible for any and all costs incurred by ADECS. |
